Terms of Service

This document describes how StudyBuddyAI actually operates today and is provided as-is by StudyBuddyAI's operator, a private individual. It is not legal advice and is not a substitute for advice from a qualified lawyer. Any items still shown in [BRACKETS] are details we are finalising.

These Terms of Service ("Terms") are a binding agreement between you and Raz Cohen, an individual operating StudyBuddyAI as a sole operator ("we", "us", "our"), and govern your use of StudyBuddyAI, our AI study and homework-help service for families (the "Service"). Please read them carefully.

By creating an account, accepting these Terms during sign-up, or using the Service, you agree to these Terms. If you do not agree, do not use the Service. StudyBuddyAI is designed so that only an adult parent or legal guardian can create an account and add children — children cannot register on their own.

1. Acceptance of these Terms

These Terms apply to everyone who uses the Service, including the parent or guardian who holds the account and any child the parent adds. By accepting these Terms or using the Service, you confirm that you have read and agree to them.

These Terms incorporate by reference the documents that govern specific aspects of the Service: our Privacy Policy (/privacy), Acceptable Use Policy (/acceptable-use), Refund and Subscription Terms (/refunds), DMCA / copyright policy (/dmca), and Disclaimer (/disclaimer). Together they form the agreement between you and us.

If any conflict arises between these Terms and one of those documents on a topic the other governs in detail (for example, billing and refunds under the Refund and Subscription Terms, or acceptable conduct under the Acceptable Use Policy), the more specific document controls for that topic.

2. Eligibility and accounts

Who may hold an account

You must be at least 18 years old and an adult parent or legal guardian to create and hold an account. The account holder is the only person who may register, and the account is created with an email address and password and must be email-verified before use.

Access to the Service may be invite-only or gated behind an access request. We may grant, decline, or revoke access at our discretion, and being able to request access does not guarantee you an account.

Children cannot create their own accounts, sign up with their own email, or enter payment information. The parent adds each child, and the child signs in through a parent-issued magic link or PIN.

Accurate information

You agree to provide accurate, current, and complete information when you create your account and to keep it up to date. This includes the information you provide about each child you add.

Account security

  • Keep your password and any child sign-in link or PIN confidential, and do not share your login credentials.
  • You are responsible for all activity that happens under your account, including activity by any child you add and anyone you allow to use your credentials.
  • Notify us promptly at support@getstudybuddyai.com if you believe your account has been accessed without authorisation.

One account holder is responsible for the entire family's use of the Service, including each child's use.

3. The Service and your licence to use it

StudyBuddyAI is an AI-powered study and homework-help service for families with children in grades 1 through 12 (roughly ages 6 to 18), available in English and Hebrew. The Service helps children practise, study, and work through homework with an AI tutor, and gives parents progress insights.

Subject to your compliance with these Terms, we grant you a limited, revocable, non-transferable, non-exclusive licence to access and use the Service for the personal, non-commercial educational use of your own household.

Our intellectual property

The Service — including its software, design, text, graphics, logos, and all related intellectual property — is owned by Raz Cohen or our licensors and is protected by law. Except for the limited licence above, we grant you no rights in the Service. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works of any part of the Service, or remove any proprietary notices, except to the extent the law expressly permits.

We may change, add, or remove features of the Service at any time. We may also set reasonable usage limits to keep the Service reliable and available for everyone.

4. Children and parental responsibility

The Service is intended to be set up and supervised by an adult parent or guardian. By adding a child, you confirm that you are the child's parent or legal guardian and that you consent to the child's use of the Service.

  • You provide and control the information about each child, decide which subjects and features the child can use, and may pause or remove a child's access at any time.
  • You are responsible for supervising your child's use of the Service and for all of your child's activity on it.
  • You are responsible for the content you and your child enter, and for ensuring the Service is appropriate for your child.

How we handle children's information is described in our Privacy Policy (/privacy). Because you provide and control your child's information, you are responsible for its accuracy and for exercising your child's privacy rights on the child's behalf.

5. Educational use and no guarantees

StudyBuddyAI is a study aid. It is not a substitute for school, teachers, tutoring by a qualified professional, or your own judgement, and it must not be used to cheat, to complete graded work dishonestly, or in any way that breaks a school's rules or academic-integrity policies.

AI output can be inaccurate, incomplete, or out of date. Always review and independently verify any answer, explanation, or other output before relying on it. You and your child are responsible for how you use the output.

The Service does not provide professional advice. It is not a source of medical, psychological, legal, financial, or other professional advice, and it is not a crisis or emergency service. For any such need, consult a qualified professional or, in an emergency, contact local emergency services.

We make no guarantee about learning outcomes, grades, or results. Please read the full Disclaimer (/disclaimer), which forms part of these Terms.

6. Acceptable use

Your use of the Service is governed by our Acceptable Use Policy (/acceptable-use), which you agree to follow. Among other things, and without limiting that policy, you agree not to:

  • Use the Service to cheat, plagiarise, or otherwise violate academic-integrity rules.
  • Use the Service for anything unlawful, harmful, harassing, hateful, sexually explicit, or otherwise inappropriate, especially given that children use it.
  • Attempt to bypass safety, content-moderation, or access controls, or to prompt the AI to produce prohibited content.
  • Probe, scan, scrape, overload, disrupt, or gain unauthorised access to the Service or its systems.
  • Reverse-engineer, copy, or attempt to extract our software or models, or use the Service to build a competing product or to train another AI model.
  • Let anyone other than your own household use your account, or use the Service in violation of any applicable law or third-party rights.

We may remove content and suspend or terminate access for violations of the Acceptable Use Policy.

7. Your content

"Your content" means the information you and your child enter into the Service, such as chat messages, homework text, notes, and answers. The Service does not offer user-to-user sharing, public profiles, or file uploads, and your content is private to your family and is not published or shared with other users.

You keep ownership of your content. You are responsible for it and confirm you have the rights needed to provide it and that it does not infringe anyone's rights or break the law.

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display your content as needed to operate, secure, maintain, and improve the Service for you — including sending the necessary content to our AI provider to generate responses and applying content moderation for safety. This licence exists only to run the Service and ends when your content is deleted, except for residual copies in backups for a limited period and any content we must retain to meet legal obligations. We do not use your or your child's content to train our own AI models. The content we send to our third-party AI providers is, however, processed under their terms and may be used by them — including, for the free-tier models we currently use, to train and improve their own models; see the 'AI processing and third-party processors' section of our Privacy Policy (/privacy) for details.

8. AI-generated content

The Service uses AI to generate tutoring responses, explanations, summaries, and insights ("AI output"). As between you and us, and to the extent permitted by law, you may use the AI output for your household's educational purposes under these Terms.

AI output is provided on an "as is" basis. It may be inaccurate, incomplete, or inappropriate for your situation, and it is not unique — the AI may generate similar or identical output for other users, and we make no claim that AI output is original or protectable. You must review and verify AI output before relying on it (see Section 5).

You acknowledge and accept the risks of relying on AI-generated output, including that it may be inaccurate, incomplete, or inappropriate, and you agree that you — not us — are responsible for reviewing, verifying, and deciding how to use any output before relying on it. You assume full responsibility for any decision made, or action taken, based on the Service or its output.

9. Subscriptions and payments

Some features require a paid subscription. Paid subscriptions are sold and processed by Paddle, which acts as the Merchant of Record for your purchase. Your purchase is also subject to Paddle's own buyer terms.

Paid plans are typically offered on a recurring, auto-renewing basis: unless you cancel before the end of the current billing period, your subscription renews and the applicable fee is charged for the next period. Prices may change on a going-forward basis with notice as required by law.

Full details of pricing, billing, renewals, cancellation, and refunds — including how to cancel and any refund eligibility — are set out in our Refund and Subscription Terms (/refunds), which form part of these Terms. Please read them before purchasing.

10. Third-party services

The Service relies on third-party providers (for example, for hosting, authentication, AI model inference, payments, and email) and may link to third-party websites or services. Those third parties operate under their own terms and privacy policies, which we do not control.

We are not responsible for third-party services, and your use of them is at your own risk and subject to their terms. The third-party processors we use and the data they handle are described in our Privacy Policy (/privacy).

11. Suspension and termination

You may stop using the Service at any time. You can cancel a subscription as described in the Refund and Subscription Terms (/refunds), and you can delete a child or your entire account from your settings; deletion is handled as described in our Privacy Policy (/privacy).

Separately from the suspension and termination grounds below, we may end a paid subscription itself in the limited billing circumstances described in the Refund and Subscription Terms (/refunds) — for example, if you do not accept a material price increase. In that case you keep your plan's features until the end of the period you have already paid for, consistent with our right to change or discontinue the Service or a feature described elsewhere in these Terms.

We may suspend or terminate your access to all or part of the Service, with or without notice, if you breach these Terms or any incorporated policy, if it is necessary to protect the safety or security of users (especially children), the public, or us, or if required by law. Where reasonable and lawful, we will give you notice and a chance to fix the problem.

On termination, your licence to use the Service ends and you must stop using it. Sections that by their nature should survive termination — including those on intellectual property, your content licence (as limited above), disclaimers, limitation of liability, indemnification, and governing law — will survive.

12. Disclaimers of warranties

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that AI output will be accurate, reliable, complete, or suitable for any purpose, or that the Service will produce any particular educational result. See also our Disclaimer (/disclaimer).

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case, any warranties that cannot be excluded are limited to the minimum the law allows.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR SERVICE PROVIDERS, CONTRACTORS, AND ANYONE WHO HELPS OPERATE THE SERVICE ON OUR BEHALF WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EDUCATIONAL OUTCOMES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, OR USD $100.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, for fraud, or for any other liability that the law does not allow to be limited. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Raz Cohen, our service providers, contractors, and anyone who helps operate the Service on our behalf from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to your or your child's use of the Service, your content, or your breach of these Terms or any incorporated policy or of applicable law or third-party rights.

We may, at our option, assume the exclusive defence and control of any matter subject to indemnification, in which case you agree to cooperate with us.

15. Changes to the Service and to these Terms

We may modify, suspend, or discontinue the Service or any feature at any time. We will try to give reasonable notice of material changes that significantly reduce the Service.

We may also update these Terms from time to time. When we make material changes, we will update the effective version shown at the top of this page and, where appropriate, notify you or ask the parent to re-confirm acceptance. Your continued use of the Service after changes take effect means you accept the updated Terms. If you do not agree, you should stop using the Service and may cancel and delete your account.

16. Governing law and dispute resolution

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Israel, without regard to its conflict-of-laws rules, and the courts located in that jurisdiction will have exclusive jurisdiction, except where mandatory law in your country of residence provides otherwise.

Before starting any formal proceeding, we encourage you to contact us so we can try to resolve the matter informally. Nothing in this section affects any non-waivable rights you have as a consumer under the mandatory law of your country of residence.

17. General

The following general terms apply to the fullest extent permitted by law and are read together with the consumer-rights savings elsewhere in these Terms (including in 'Governing law and dispute resolution' above). Nothing in this section limits any non-waivable rights you have as a consumer under the mandatory law of your country of residence.

Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and, to the extent it cannot be, will be severed; the remaining provisions will continue in full force and effect. Where a limitation or exclusion in these Terms is found unenforceable in part, it will apply to the maximum extent the law allows.

Events beyond our control

We are not liable for any failure or delay in providing the Service caused by events beyond our reasonable control, including failures or changes of third-party providers (such as hosting, AI model, payment, or email providers), internet or network failures, acts of government, labour disputes, or acts of God. If such an event materially prevents us from providing the Service, we may suspend it for the duration of the event without liability. This does not affect any refund due to you for service already paid for but not delivered, which is handled under our Refund and Subscription Terms (/refunds).

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms, in whole or in part, to an affiliate or successor, or in connection with a merger, acquisition, reorganisation, incorporation of the business, or sale of assets, without your consent; we will not do so in a way that materially reduces your rights without notice. These Terms bind and benefit the parties and their permitted successors and assigns.

No waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later. A waiver is effective only if we give it in writing.

Entire agreement

These Terms and the policies they incorporate are the entire agreement between you and us about the Service and replace any prior or contemporaneous understanding. Marketing materials and informal communications do not form part of the agreement. Nothing in this clause limits any non-waivable consumer rights or any liability for fraud or fraudulent misrepresentation.

Time limit for claims

To the extent permitted by law, any claim arising out of or relating to the Service or these Terms must be brought within one (1) year after the cause of action arises; otherwise it is permanently barred. This does not apply where the law of your country of residence requires a longer non-waivable period.

No third-party beneficiaries

These Terms are between you (the account holder) and us. They do not create any rights for, and may not be enforced by, any other person, except that our disclaimers, limitations of liability, and indemnities also benefit our service providers and the people who help operate the Service.
